Terms of Service
Effective date: 17 January 2025
These Terms govern your access to and use of the AfroMarketSquare platform ("Platform"), including our website, mobile apps, vendor hub, customer ordering interface and delivery coordination systems. By creating an account, browsing, listing products, funding a wallet, placing an order, joining a bulk buying group or performing deliveries, you agree to be bound by these Terms.
1. Acceptance
Your use of the Platform constitutes acceptance of these Terms and our Privacy Policy. If you do not agree, discontinue use immediately.
2. Eligibility & Accounts
You must be at least 18 and legally capable of entering a contract in the UK. Business vendors warrant they are duly authorised to list products. We may request verification (e.g. ID, business documentation).
3. Account Security
You are responsible for safeguarding login credentials and all activity under your account. Notify us of any suspected compromise. We reserve the right to disable accounts for security or compliance reasons.
4. Services Overview
- Marketplace listing of African foodstuff, ingredients and ready meals.
- Wallet funding and transaction management.
- Delivery coordination through riders/partners.
- Bulk buying facilitation with group pricing.
- Subscription or repeat ordering (where available).
5. Vendors
- Vendors must provide accurate product descriptions, pricing, origin and allergen disclosures.
- Fulfilment timelines must be honoured; delays should be communicated promptly.
- We may remove listings that violate law, infringe rights or misrepresent goods.
- Vendors grant us permission to display and promote product information.
- Payouts depend on successful completion of orders and may be subject to fraud/quality checks.
6. Customers & Orders
- Placing an order constitutes an offer; acceptance occurs upon vendor confirmation or automatic platform acceptance logic.
- Substitutions may occur only with your consent unless operationally unavoidable (e.g. stock variance).
- You must provide correct delivery details; failed delivery due to incorrect address may incur fees.
- Perishable items may not qualify for return except for quality or statutory reasons.
7. Wallet & Payments
- Wallet funds represent a prepayment balance usable only within the Platform.
- We use third-party payment processors; we do not store full card credentials.
- Refunds for cancelled/failed orders return to the original method or wallet as permitted.
- Wallet misuse (e.g. chargeback fraud) may trigger suspension.
8. Delivery Partners
Delivery partners (riders) act as independent contractors unless expressly stated otherwise. Timings are estimates. Risk passes upon delivery to the specified drop-off point or recipient.
9. Bulk Buying Group
Group participation fees (e.g. annual membership) are non-transferable. Pricing advantages depend on minimum participant thresholds. We may dissolve inactive groups or adjust terms for economic feasibility.
10. Subscriptions & Repeat Orders
Where subscription functionality is offered, you authorise recurring fulfilments and associated payments until cancelled pursuant to stated notice periods.
11. Product Quality & Availability
We strive to onboard reputable vendors; however, we do not guarantee uninterrupted availability, product suitability, nutritional compliance or supply chain timelines. Legal rights under UK consumer law remain unaffected.
12. Prohibited Activities
- Resale or scraping of platform data.
- Uploading malicious code or interfering with infrastructure.
- Infringing intellectual property or mislabeling goods.
- Fraudulent disputes, payment abuse or falsified reviews.
- Bypassing security or rate limits.
13. Fees & Pricing
Fees (service, delivery, membership, payout) may apply and are disclosed at point of transaction. We may update pricing or fee models with reasonable notice where required.
14. Reviews & Feedback
You agree reviews will be honest, relevant and not defamatory. We may moderate or remove content that breaches policy or law.
15. Intellectual Property
The Platform, branding, interface components and underlying code are owned or licensed by AfroMarketSquare. All rights reserved. Vendors retain ownership of their listed brand marks and product imagery but license display rights to us.
16. User Content Licence
By submitting content (reviews, images, suggestions), you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to use, display, adapt and distribute such content for platform operation and promotion.
17. Third-Party Tools
External payment gateways, analytics or messaging tools are provided "as is". Your use of them may be subject to separate terms.
18. Disclaimers
To the fullest extent permitted by law, the Platform is provided "as is" without warranties (express or implied) including merchantability, fitness for purpose, accuracy or non-infringement. We do not guarantee uninterrupted access.
19. Limitation of Liability
We do not exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law. Subject to that, we are not liable for: indirect, incidental, consequential, lost profits, data loss, goodwill depletion or business interruption. Aggregate liability for all claims shall not exceed the total fees paid to us by you in the 3 months preceding the claim.
20. Indemnification
You agree to indemnify and hold AfroMarketSquare harmless from claims arising out of your misuse of the Platform, breach of these Terms or infringement of third-party rights.
21. Suspension & Termination
We may suspend or terminate access for breach, fraud, operational risk or legal requirement. You may close your account; accrued obligations survive termination.
22. Governing Law
These Terms are governed by the laws of England & Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts (without affecting any mandatory consumer protections).
23. Changes to Terms
We may update these Terms to reflect legal, technical or business changes. Material revisions will be communicated; continued use after effective date constitutes acceptance.
